What types of clients do you represent?

Do you handle both buy-side and sell-side M&A?

Yes. We represent both buyers and sellers of businesses, including founder-led companies, independent sponsors, and private equity firms. Our role is to guide clients through the full transaction process from structuring through closing.

Do you work with independent sponsors?

Yes. We regularly advise independent sponsors on deal-by-deal acquisitions, including SPV formation, capital structuring, vehicle economics, and acquisition execution.

Do you help form SPVs and investment vehicles?

Yes. We assist with the formation of SPVs and other investment vehicles used in connection with acquisitions and capital raises. This includes structuring, governance, and economic arrangements.

Do you provide ongoing general corporate counsel?

Yes. In addition to transactional work, we advise clients on corporate governance, contracts, and day-to-day business legal matters. This often includes serving as outside counsel for ongoing legal needs.

Do you handle litigation?

No. We do not handle litigation matters. When those issues arise, we work with trusted outside counsel and coordinate to ensure clients receive appropriate support.

How do you typically charge for your work?

We typically structure fees based on the nature of the matter, which may include fixed fees, hybrid fees, or hourly fees depending on the transaction. We discuss fee structure at the outset of each engagement, and provide clients with choices.
